Terms and Conditions.
TERMS & CONDITIONS
These Terms apply to all services supplied by ApparelTASKER (Sartor Group Ltd). Acceptance of any quotation, invoice, Purchase Order (PO), or the commencement of work constitutes full acceptance of these Terms.
SECTION A — DEVELOPMENT TERMS
(Sampling, fitting, patterns, amendments, studio sewing, prototypes, and any order under 100 units of one style)
1. Scope and Authority
1.1 Development services commence only upon written confirmation by ApparelTASKER.
1.2 The Client must supply full and accurate information, including tech packs, sizing, trims, label placement, packaging instructions, and any required specifications.
1.3 If any information is missing or unclear, ApparelTASKER may interpret specifications at its discretion. The Client shall have no recourse for outcomes arising from incomplete or ambiguous instruction.
2. Development Pricing
2.1 Development is charged at the current hourly rate plus VAT. As of 1 January 2026, this rate will be set at £50 + VAT. (Jan, 1st 2026)
2.2 Estimated hours are provided to the Client for guidance only. If the projected hours are likely to be exceeded, work will pause until the Client confirms continuation.
2.3 Development services require full prepayment. No work will commence until full payment has cleared.
3. Specifications
3.1 The Client is solely responsible for the accuracy of all specifications.
3.2 The Client must verify and approve all details on the final pre-production sample before authorising production.
3.3 Where stitch type, seam construction, finishing, hardware setting or technical methods are not defined by the Client, ApparelTASKER may select appropriate construction solutions.
4. Materials in Development
4.1 The Client must inspect all fabric, trims, and components before delivery.
4.2 ApparelTASKER does not undertake material inspection and accepts no responsibility for faults, instability, or issues arising from Client supplied components.
5. Intellectual Property — Development
5.1 All patterns, size sets, internal blocks, grading, construction methodology, process engineering, technical development systems and machinery programming remain the intellectual property of ApparelTASKER.
5.2 No intellectual property is transferred unless expressly agreed in writing and paid for under a separate agreement.
6. Transition to Production
6.1 By approving the final pre-production sample, the Client confirms that all specifications are accurate and suitable for bulk production.
6.2 Once production is authorised, the Terms outlined in Section B apply.
SECTION B — PRODUCTION TERMS
(100+ units of a single style manufactured at one time under a single invoice)
7. Order Acceptance, Documentation & Components
7.1 Production POs are binding only once confirmed in writing by ApparelTASKER.
7.2 The Client must supply all components, trims, fabrics, technical instructions, and related documentation by the agreed deadline.
7.3 No production schedule or delivery window will be issued until all components are delivered in full.
7.4 Delivery dates are estimates only and subject to materials, accuracy of information, capacity, change requests and operational circumstances.
7.5 Any late materials, missing trims, incomplete specifications, fit amendments, or technical updates may require adjustments to pricing, delivery dates, and contract terms.
8. Production Pricing & Payment
8.1 Production pricing is per-unit + VAT. Quotes are valid for 3 months.
8.2 For orders over £5000, a 50% deposit is required at least 4 weeks before the scheduled start date. The remaining balance is due before collection or release of the goods.
8.3 Orders under £5000 are strictly pro-forma (in full), and full payment must be received prior to commencement of any work.
8.4 ApparelTASKER will not commence or continue production until full compliance with the agreed payment terms has been met.
8.5 Failure to pay the deposit by the advised date, voids delivery commitments
8.6 Late payments incur a 10% fee from day 8 after scheduled collection, and a further 10% every 28 days thereafter.
9. Client-Supplied Materials
9.1 The Client assumes full responsibility for suitability, performance, consistency and quality of all supplied materials and trims.
9.2 ApparelTASKER does not inspect components and accepts no liability for defects, shrinkage, colour migration, print variance, weakness, instability or material-related performance issues.
9.3 External processes (including, but not limited to, embroidery, printing, dyeing or washing) arranged by the Client are entirely at the Client’s risk and may impact timelines.
10. Change Orders
10.1 Any changes or deviations from the confirmed PO or approved sample will be treated as a Change Order.
10.2 Change Orders incur a £250 fee per change, plus applicable development hours.
10.3 Change Orders include (but are not limited to):
● revised sizing, pattern or fit
● re-labelling or re-packaging
● late trims or materials
● tech pack amendments
● unusable or insufficient fabric
● re-rolling by colour, quality or print
10.4 Any Change Order automatically resets the delivery schedule.
11. Production Cancellation
11.1 Cancellation fees apply as follows:
● 25% of PO value once accepted
● 50% if fabric has been cut or processed
● 100% once units enter the sewing floor
12. QC Standards & Acceptance
12.1 ApparelTASKER applies internal QC standards.
12.2 Bespoke QC requirements must be specified in writing in both the PO and the tech pack.12.3 Goods are deemed accepted if no written notice of defect is provided within 3 days of receipt.
12.4 The following tolerances do not constitute faults:
● dimensional variance ±1–2 cm
● acceptable stitch density variation
● minor shade variance not visible at 1 metre
● minor non-structural surface blemishes
13. Manufacturing Faults & Remedies
13.1 ApparelTASKER reserves the right to inspect, repair or replace affected units as first remedy.
13.2 Where repair is not feasible, a credit note will be issued solely for the affected garment(s).
13.3 If more than 10% of the order is deemed faulty, ApparelTASKER may recall stock for further QC.
13.4 No compensation is payable for consequential or indirect loss, including fabric or trims issues, logistics costs, media deadlines, commercial release timing, photoshoots, shows, retail scheduling, or loss of revenue.
14. Delivery, Risk Transfer & Transit
14.1 All deliveries are made strictly EX-WORKS, and all risk transfers to the Client upon delivery of the goods to the Client’s nominated carrier.
14.2 Unless agreed in writing, only one delivery per PO will be made.
14.3 Any split shipments not agreed in advance will incur a Change Order fee. 14.4 Transit insurance is not included unless expressly agreed in writing.
15. Storage & Disposal
15.1 While ApparelTASKER exercises due care in the storage of goods, all items are held at the Client’s risk. It is recommended that all fabrics and materials are fully insured.
15.2 Storage fees may apply after 14 days from notice of readiness.
15.3 Goods uncollected after 45 days may be disposed of without liability.
16. Limitation of Liability
16.1 ApparelTASKER is not liable for indirect, consequential or economic loss.
16.2 Maximum aggregate liability shall not exceed the invoiced value of the relevant PO.
17. Force Majeure
17.1 ApparelTASKER shall not be liable for delays or inability to perform due to events beyond reasonable control, including operational disruption, industrial action, transport failure, machinery breakdown, global events or regulatory intervention.
18. Dispute Resolution
18.1 Parties shall seek resolution via written communication and independent mediation prior to litigation.
18.2 English law and exclusive jurisdiction of the English courts apply.
19. Entire Agreement
19.1 These Terms supersede all previous communication. No amendment is valid unless confirmed in writing by ApparelTASKER.

By approving any quotation or invoice, or by requesting commencement of work, the Client confirms acceptance of these Terms.
